Role Purpose & Overview
The Head – Contracting owns Business-level Contracting standards and governance, focusing primarily on high-value and critical contracts. Reporting directly to the EVP - Contracts & Compliance, the role holder is accountable for sector-specific clause library outcomes, template and playbook standardization, contract risk frameworks, regulatory-aligned processes, and sector-informed guidance so that business units operate within defined risk appetite while achieving commercial objectives.
Key Accountabilities & Responsibilities
- Clause Library Ownership & Quality: Build, maintain, and expand a Group/Business-wide clause library for commercial, legal, technical, and compliance risk areas; own clause lifecycles including fallbacks and capture lessons learned from contracting.
- Governance, Version Control & CLM: Establish governance for clause creation, amendment, and approvals; institutionalize CLM as the single source of truth; provide audit-ready documentation and dashboards.
- Standardization of Templates & Playbooks: Develop and maintain standardized templates, drafting guidelines, and negotiation playbooks; drive cross-BU adoption and formalize non-standard use criteria.
- Risk Assessment & Mitigation: Define frameworks to identify critical contracts and risk thresholds; approve risk mitigation plans and maintain pre-contract risk registers.
- Negotiation Decision Support: Advise negotiation teams in bottleneck situations regarding risk positions, fallback options, and alignment without managing day-to-day frontline drafting.
- Regulatory & Policy Compliance: Embed statutory requirements (GST, RBI, sectoral regulations, labor laws) into templates, checklists, and workflows; update Group contracting policies.
- Contract Governance & Post-Award Management: Oversee contract handovers, metadata capture into CLM/ERP (SAP, billing, project controls), SLA tracking, LD triggers, and performance reviews with cross-functional teams.
- Claims, Variations & Dispute Management: Oversee mechanisms for handling variations, claims, extensions of time, price escalations, and contractual reliefs in coordination with Legal and Business teams.
- Training & Change Management: Roll out training programs on clause libraries, playbooks, and risk frameworks to foster adoption across functions.
Eligibility & Qualifications
- Educational Background: LLB from a reputed institution; LLM, PG Diploma in Business Law, or professional Contract Management certification is a plus.
- Experience: 12–15 years of contracts, legal, or commercial experience, with substantial exposure to at least one sector: Airport, Energy, Land Development, or Sports.
- Expertise: Proven leadership in pre-contract governance, contract risk frameworks, and high-value critical contracts in complex, multi-BU corporate environments.
- Technical Proficiency: Hands-on experience with CLM platforms, digital contracting tools, and data-driven reporting on deviations and risks.
