Role Overview
As an Associate in the Corporate & M&A practice, you will work alongside top-tier corporate practitioners on high-stakes domestic and cross-border transactions, private equity investments, joint ventures, and strategic corporate restructurings.
Key Responsibilities
- Transactional Drafting: Draft, review, and negotiate transactional documents including Share Purchase Agreements (SPAs), Shareholders' Agreements (SHAs), Business Transfer Agreements (BTAs), and Joint Venture Agreements.
- Due Diligence: Spearhead and manage end-to-end legal due diligence processes for corporate acquisitions and venture capital investments.
- Regulatory Advisory: Provide strategic counsel on compliance with the Companies Act 2013, Foreign Exchange Management Act (FEMA), SEBI regulations, and RBI guidelines.
- Client Engagement: Liaise directly with corporate clients, multinational enterprises, private equity funds, and investment bankers.
Candidate Profile & Qualifications
- LL.B. or LL.M. degree from a recognized institution (National Law Universities preferred).
- 2 to 4 years of Post-Qualification Experience (PQE) in Corporate / M&A within a tier-1 or tier-2 Indian law firm.
- Exceptional legal research, drafting, analytical, and negotiation skills.
- Deep understanding of Indian corporate governance laws, securities regulatory frameworks, and foreign direct investment policies.
