The Role
LVX is looking for a driven, highly skilled Legal Counsel – Funds & Transactions to sit at the core of its fund operations and transaction activities in Bengaluru. In this high-impact, high-ownership role, you will take ownership of the legal lifecycle of Category I and Category II Alternative Investment Funds (AIFs)—from fund structuring and SEBI registration to drafting key transaction documents for high-growth startup investments.
Key Responsibilities
- Fund Formation & AIF Regulatory: Advise on structuring, setup, and launch of Category I (Angel Funds, VCFs) and Category II AIFs. Draft PPMs, trust deeds, contribution agreements, and side letters. Oversee SEBI registrations, scheme launches, ongoing regulatory filings, PPM audits, and investor onboarding.
- Investment Transactions: Draft, review, and negotiate term sheets, Shareholders' Agreements (SHAs), Share Subscription Agreements (SSAs), CCPS/CCDs, and convertible notes for startup investments. Lead legal due diligence, review reports, and handle closing deliverables.
- Regulatory Compliance & Governance: Ensure compliance under SEBI AIF Regulations, Companies Act 2013, FEMA/NDI Rules, and data privacy framework (DPDP Act 2023).
- Strategic & Business Support: Serve as primary legal counsel for internal deal teams, fund ops, and investor relations. Manage external counsel and develop scalable legal templates and playbooks.
Eligibility & Requirements
- Education & PQE: LLB from a recognized university and enrolled with a State Bar Council. 4–5 years of relevant Post-Qualification Experience (PQE) at a top-tier law firm or in-house VC/PE fund.
- Core Competencies: Proven expertise in Category I & II AIF lifecycle management, SEBI compliance, and negotiating complex venture deals (SHAs, SSAs, Term Sheets). Deep understanding of Companies Act, FEMA, and Indian Contract Act.
- Good to Have: CS qualification, familiarity with GIFT City (IFSC) fund structures, secondary transactions, and strong existing familiarity with the Indian startup ecosystem.
