About the Role
As an Associate within the Corporate practice, you will work closely with industry-acclaimed partners on marquee cross-border and domestic transactions, strategic joint ventures, private equity investments, and intricate regulatory advisory matters.
Key Responsibilities
- Transaction Structuring & Execution: Assist in drafting, reviewing, and negotiating core transaction documents including Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), asset transfer agreements, and joint venture contracts.
- Due Diligence: Conduct comprehensive legal due diligence exercises across target entities, identifying regulatory hurdles and compliance risks.
- Regulatory & Compliance Advisory: Provide well-researched, actionable opinions on matters involving the Companies Act, FEMA regulations, RBI mandates, and SEBI regulations.
- Client Engagement: Liaise proactively with domestic conglomerates, multinational corporations, and private equity sponsors throughout deal life cycles.
Candidate Profile
- LL.B. or B.A. LL.B. degree from a recognized institution or premier National Law University (NLU).
- 1–3 years of dedicated corporate/M&A experience at an established law firm or tier-one boutique practice.
- Impeccable drafting skills, strong commercial acumen, and meticulous attention to detail.
- Demonstrated ability to manage tight deal timelines in a fast-paced environment.
