About the Job Opportunity
Arnifi is hiring a Legal Associate to join its Legal and Compliance team in Bengaluru. The selected candidate will support corporate, commercial, regulatory and international business setup matters across multiple jurisdictions, with a primary focus on the UAE and international business operations.
The role involves working closely with clients, internal teams, law firms, government authorities, regulators and external consultants.
Eligibility Criteria
Applicants should meet the following requirements:
Hold an LL.B. or LL.M. degree.
Have 2–4 years of relevant legal experience in corporate, commercial or regulatory law.
Possess strong legal research, drafting and analytical skills.
Be capable of independently managing multiple matters and coordinating with clients and external stakeholders.
Have a sound understanding of contracts, corporate documentation and regulatory compliance.
Preferred experience: Familiarity with UAE corporate or commercial law, free zone regulations, and international business setup matters is an advantage but is not mandatory.
Roles and Responsibilities
The selected Legal Associate will be responsible for:
Contract drafting and negotiation: Drafting, reviewing and negotiating share purchase agreements (SPAs), shareholders' agreements (SHAs), service agreements, vendor agreements, employment agreements and non-disclosure agreements (NDAs).
Legal and regulatory research: Researching UAE and international laws relevant to corporate and commercial operations.
Corporate transactions: Assisting with company incorporations, restructurings, amendments, share transfers and capital changes.
Corporate governance and compliance: Supporting governance requirements, regulatory filings and ongoing compliance obligations.
Employment documentation: Assisting with employment-related and HR legal documentation.
Data protection and privacy: Supporting privacy, data protection and other regulatory compliance matters.
Risk assessment: Reviewing client documentation and identifying legal, contractual and regulatory risks.
Stakeholder coordination: Coordinating with external law firms, government authorities, regulators and consultants.
The position offers exposure to cross-border corporate and commercial matters involving the UAE, Saudi Arabia, India, Singapore, the United States and other jurisdictions.
