Role & Key Responsibilities
The firm is looking to hire 2 Legal Associates for its Corporate / Banking and Finance practice in Noida. The role offers transactional, advisory, and opinion exposure across corporate, banking, and real estate laws:
- Drafting and reviewing transaction agreements, including Share Purchase Agreements (SPA), Shareholders Agreements (SHA), Escrow Agreements, Security Trustee Agreements, Project Finance documents, and Loan Documents.
- Drafting and reviewing financing and property instruments, including loan agreements, mortgage deeds, hypothecation deeds, Trust and Retention Account (TRA)/escrow agreements, sale deeds, lease deeds, leave and license agreements, assignment agreements, and related security documents.
- Advising and assisting clients on Mergers & Acquisitions (M&A) and real estate transactions.
- Conducting legal due diligence of companies and drafting title due diligence reports.
- Advising and assisting on insolvency and bankruptcy proceedings, including drafting and evaluating resolution plans under the IBC.
- Formulating legal opinions on the Companies Act, 2013, Foreign Exchange Management Act (FEMA), SARFAESI Act, Insolvency and Bankruptcy Code (IBC), and other commercial regulations.
Eligibility & Qualifications
- LL.B. degree from a reputed university.
- 2 to 3 years of post-qualification experience (PQE) in a reputed law firm handling corporate, banking, and finance matters.
- Strong background in corporate and banking laws with hands-on transactional drafting and advisory experience.
- Excellent communication and negotiation skills.
- Company Secretary (CS) qualification is an added advantage.
